Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Proposly (the “Service”), operated by Proposly. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Proposly helps you create, send, track, and get electronic acceptance of business proposals, and optionally collect deposits through Stripe. We may add, change, or remove features over time.

2. Accounts

You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account. You must be at least 18 and able to form a binding contract. One person or organisation per account unless you are on a plan that includes multiple seats.

3. Your content

You retain ownership of the proposals, client information, branding, and other content you put into the Service (“Your Content”). You grant us a limited licence to host, process, and display Your Content solely to operate the Service for you. You are responsible for Your Content and for having the rights to use it, including any client data you enter.

5. Electronic signatures

The Service records a recipient’s acceptance of a proposal, including a typed or drawn signature, name, email, and timestamp. You and your recipients agree that these records may constitute a valid electronic signature and a binding agreement between you and your recipient. Proposly is not a party to that agreement and provides no warranty about its enforceability. Consult your own counsel if e-signature enforceability matters for your work.

6. Payments and deposits

Subscription fees are billed in advance through Stripe on the interval you choose and are non-refundable except as stated in our Refund Policy. Deposits collected from your clients are processed by Stripe Connect and paid to your connected account, less Stripe’s fees and Proposly’s stated platform fee. You are responsible for your own tax obligations and for honouring the agreements you make with your clients. Chargebacks and disputes on client payments are between you, your client, and Stripe.

7. Third-party services

The Service relies on third parties including Stripe (payments), Supabase (hosting and authentication), and Resend / Amazon SES (email). Your use of the Service is also subject to their terms where applicable.

8. Cancellation and termination

You may cancel at any time from your account settings; your plan remains active until the end of the current billing period. You may export your data before or after cancellation. We may suspend or terminate your account for a material breach of these Terms, or discontinue the Service with reasonable notice.

9. Warranty disclaimer

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated proposal drafts may contain errors; you are responsible for reviewing every proposal before you send it.

10. Limitation of liability

To the fullest extent permitted by law, Proposly will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.

11. Changes to these Terms

We may update these Terms. If we make a material change we will notify you by email or in the app before it takes effect. Continued use after that date means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The courts located there have exclusive jurisdiction over any dispute, subject to any non-waivable rights you have under local law.
